Terms and conditions

This is an English translation of our Dutch terms and conditions (algemene voorwaarden). If the two versions differ, the Dutch version applies.

1. Who are we?

FutureStep AI is a general partnership (vennootschap onder firma, VOF) registered with the Dutch Chamber of Commerce (KvK) under number 99309742. You can reach us at info@futurestepai.nl and through the website futurestepai.nl.

2. Definitions

  • FutureStep AI: the general partnership that provides the Service.
  • Customer: the natural or legal person who takes out a subscription or service.
  • Service: the SaaS service with which Instagram Direct Messages are analysed, prioritised and managed, including AI-driven lead scoring, intent recognition and conversation summaries.
  • Subscription: the ongoing agreement (monthly or yearly) that gives the Customer access to the Service.
  • Account: the Instagram business account that the Customer connects to the Service.
  • Agreement: any arrangement between FutureStep AI and the Customer to which these terms apply.

3. Applicability

These terms and conditions apply to all offers, quotes, subscriptions and agreements between FutureStep AI and the Customer. By taking out a subscription or using the Service, the Customer agrees to these terms. Deviating terms of the Customer only apply if agreed in writing.

4. The Service

FutureStep AI offers a SaaS platform that analyses incoming Instagram DMs with the help of AI. The Service may include, among other things: lead scoring, intent detection, conversation summaries, prioritisation, a central inbox and notifications. The exact functionality may be changed, extended or limited; FutureStep AI aims to announce significant changes in advance.

The Service is a tool. The Customer always remains responsible for the communication, decisions and actions on their own Instagram account.

5. Subscription, prices and payment

  • All prices are in euros and exclude VAT, unless expressly stated otherwise.
  • Payment takes place through Stripe (iDEAL, credit card or other supported methods).
  • A subscription is renewed automatically at the end of the chosen period (monthly or yearly), unless cancelled before the end of the current period.
  • If a payment fails, FutureStep AI reserves the right to (temporarily) suspend access to the Service until payment has been received.
  • FutureStep AI may change prices. Price changes for current subscriptions are announced at least 30 days in advance; in that case the Customer can cancel the subscription as of the date the change takes effect.

6. Trial period

If FutureStep AI offers a trial period, the paid subscription starts automatically when it ends, unless the Customer cancels before the end of the trial. This is made clear in advance when the trial starts.

7. Cancellation

The Customer can cancel the subscription at any time through the account settings or by contacting info@futurestepai.nl. Cancellation takes effect at the end of the current billing period; amounts already paid are not refunded. FutureStep AI may terminate or suspend the agreement in the event of serious shortcomings, abuse or violation of these terms.

8. Right of withdrawal (digital service)

The Service is a digital service that is made available immediately after sign-up. By taking out a subscription, the Customer expressly agrees to immediate delivery and, where applicable, waives the statutory right of withdrawal once performance has begun, in accordance with Article 6:230p(a)/(c) of the Dutch Civil Code.

9. Obligations of the Customer

  • The Customer provides correct and up-to-date details (including a valid email address and the correct Instagram account).
  • The Customer keeps login details secret and is responsible for all use through their own account.
  • The Customer uses the Service only for lawful purposes and in accordance with the terms of use of Instagram/Meta.
  • The Customer is and remains ultimately responsible for the content of the conversations conducted through their Instagram account.

10. Results and warranty

FutureStep AI has an obligation of effort, not an obligation of result. We expressly give no guarantee of:

  • numbers of followers, leads, conversations, conversions or customers;
  • revenue, profit or return on investment;
  • the accuracy or completeness of AI-generated analyses, lead scores, intent classifications or summaries;
  • reach, discoverability or performance on Instagram or any other platform.

Results depend on many factors outside our control, including the market, the offer, the content, the Customer's own efforts and the policies and algorithms of Instagram/Meta.

11. AI functionality

The Service uses AI models (including third-party models) for, among other things, lead scoring, intent recognition and conversation summaries. AI results may contain errors, inaccuracies or bias and are expressly not a replacement for human judgement. The Customer decides which actions to take based on them. FutureStep AI is not liable for damage resulting from following AI suggestions.

12. Platform dependency (Instagram/Meta)

The Service relies on Instagram/Meta and their APIs working. FutureStep AI is not liable for damage or for the Service being (temporarily) unavailable as a result of:

  • changes or restrictions in the Instagram/Meta API or policies;
  • suspension, blocking, shadowban or removal of the Customer's account by Instagram/Meta;
  • outages, downtime or errors on the side of Instagram/Meta or other third parties.

13. Availability and maintenance

FutureStep AI aims for high availability of the Service but does not guarantee uninterrupted availability. FutureStep AI may carry out maintenance, perform updates and temporarily suspend functionality. Planned maintenance is announced in advance where possible.

14. Intellectual property

All intellectual property rights to the Service, the software, the house style, the texts and all materials developed by FutureStep AI remain the property of FutureStep AI. The Customer receives a personal, non-transferable and non-exclusive right of use for as long as the subscription runs. It is not permitted to copy, reverse-engineer, resell or commercially exploit the Service without written permission.

The content sent or received through the Customer's Instagram account remains the property of the Customer or the original sender respectively.

15. Liability

  • FutureStep AI is only liable for direct damage that is the direct result of an attributable shortcoming.
  • Liability for indirect damage, consequential damage, lost profit, missed savings, loss of revenue, reputational damage or loss of data is excluded.
  • Total liability is in all cases limited to the amount the Customer paid to FutureStep AI in the three (3) months before the event causing the damage, with a maximum of €500.
  • These limitations do not apply in the case of intent or deliberate recklessness on the part of FutureStep AI.

16. Force majeure

Force majeure includes, among other things: outages at hosting or cloud providers, failure of Instagram/Meta or other third-party APIs, internet outages, cyberattacks, government measures, pandemics and other circumstances beyond our reasonable control. In the event of force majeure, FutureStep AI is not obliged to perform and is not liable for damage. If the force majeure lasts longer than 60 days, both parties may terminate the agreement.

17. Privacy and data processing

FutureStep AI processes personal data in accordance with the GDPR. For business customers who request it, FutureStep AI provides a data processing agreement (DPA). See the privacy policy for the full explanation of processing, purposes, retention periods and rights.

18. Changes

FutureStep AI may change these terms. Significant changes are announced at least 30 days in advance by email or in the Service. If the Customer does not agree, they can cancel the subscription as of the date the change takes effect.

19. Complaints

Complaints can be submitted through info@futurestepai.nl. We aim to respond substantively within 14 days.

20. Applicable law and disputes

Dutch law applies to all agreements and these terms. Disputes are submitted to the competent court in the district where FutureStep AI is established, unless mandatory law provides otherwise.
